Welcome to Uni-Nature! The terms "we", "us" and "our" refer to Uni-Nature. Uni-Nature operates this store and website, including all related information, content, features, tools, products and services in order to provide you, the customer, with a curated shopping experience (the "Services"). Uni-Nature is powered by Shopify, which enables us to provide the Services to you.

The below terms and conditions, together with any policies referenced herein (these "Terms of Service" or "Terms") describe your rights and responsibilities when you use the Services.
Please read these Terms of Service carefully, as they include important information about your legal rights and cover areas such as warranty disclaimers and limitations of liability.

To use the Services, including accessing or browsing our online store or purchasing any of the products or services we offer, you may be asked to provide certain information, such as your email address, billing, payment and shipping information. You represent and warrant that all information you provide to us is correct, current and complete and that you have all rights necessary to provide this information.

You are solely responsible for maintaining the security of your account credentials and for all activity conducted through your account. You may not transfer, sell, assign or license your account to any other person.

We have made every reasonable effort to provide an accurate representation of our products and services in our online store. However, colours or product appearance may differ from how they appear on your screen due to the device, display settings or configuration you use.

Product appearance, colour, consistency and other natural characteristics may also vary where products contain natural, fresh, fermented, food-based or minimally processed ingredients. Such reasonable variations do not affect any rights or remedies you may have under applicable Malaysian law.

All descriptions of products are subject to change from time to time. We reserve the right to discontinue any product and may limit the quantities of products offered to any person, geographic region or jurisdiction, subject always to applicable law.

SECTION 3 - ORDERS
When you place an order, you are making an offer to purchase. Uni-Nature reserves the right to accept or decline an order where reasonably necessary, including because of product availability, pricing or listing errors, payment issues, suspected fraud, delivery limitations or other legitimate business reasons. Your order is not accepted until Uni-Nature confirms acceptance. We must receive and process your payment before your order is accepted. Please review your order carefully before submitting it, as we may be unable to accommodate cancellation requests after an order has been accepted or prepared. If we do not accept, make a material change to, or cancel an order, we will attempt to notify you using the contact information provided with your order.

Your purchases are subject to our Refund & Compensation Policy. Nothing in that policy or these Terms limits any rights or remedies that cannot lawfully be excluded under applicable Malaysian consumer protection laws.

Unless otherwise agreed with us, you represent that purchases made through our retail store are primarily for personal or household use and not for unauthorised commercial resale or export.

SECTION 4 - PRICES AND BILLING
Prices, discounts and promotions are subject to change without notice. The price charged for a product or service will be the price shown at the time the order is placed and will be set out in your order confirmation. Unless otherwise expressly stated, applicable delivery, handling or other charges will be shown before you complete your purchase.

Prices offered through our online store may differ from prices offered through other sales channels or third-party platforms. We may offer promotions that are governed by separate terms and conditions. If there is a conflict between the terms of a specific promotion and these Terms, the promotion terms will govern in relation to that promotion.

You agree to provide current, complete and accurate purchase, payment and account information for all purchases made through our store. You agree to promptly update your account and other information as needed so that we can complete your transactions and contact you regarding your order. You represent and warrant that you are authorised to use the payment method provided and agree to pay all charges properly incurred for your order, including applicable delivery charges and taxes, if any.

SECTION 5 - SHIPPING AND DELIVERY
Delivery times shown on our website or communicated to you are estimates unless expressly stated otherwise. We are not responsible for delays caused by delivery providers, severe weather, traffic disruption, government action, emergencies or other events outside our reasonable control.

We will take reasonable care when preparing, packing and arranging delivery of your order. Responsibility for the products passes to you when the order is delivered to the delivery address or recipient specified by you, subject to any rights you may have under applicable law. If you provide an incorrect or incomplete delivery address, or request that an order be left unattended or delivered according to special instructions, you accept the reasonable risks associated with those instructions.

Our Services, including but not limited to our trademarks, brands, text, displays, images, graphics, product reviews, video, audio, website content and the design, selection and arrangement thereof, are owned by or licensed to Uni-Nature and are protected by applicable Malaysian and international intellectual property laws.

These Terms permit you to use the Services for your personal, non-commercial use only. Except where permitted by law or with our prior written consent, you must not reproduce, distribute, modify, create derivative works from, publicly display, publicly perform, republish, download, store or transmit material from the Services. Except as expressly provided herein, nothing in these Terms grants you any licence or other right under any patent, trademark, copyright or other intellectual property belonging to Uni-Nature, Shopify or any third party. All rights not expressly granted are reserved.

Uni-Nature's names, logos, product and service names, designs and slogans are trademarks, trade names or other intellectual property of Uni-Nature or its licensors, as applicable. You must not use them without prior written permission. Shopify's name, logo, product and service names, designs and slogans are trademarks of Shopify. All other names, logos, product and service names, designs and slogans appearing through the Services belong to their respective owners.

SECTION 7 - OPTIONAL TOOLS
You may be provided with access to tools or functionality offered by third parties as part of the Services, which we may neither monitor nor control.

Subject to any rights that cannot be excluded under applicable law, access to such third-party tools is provided "as is" and "as available" without any separate warranty or endorsement by us.

Any use by you of optional third-party tools is at your discretion, and you should ensure that you understand and agree to the terms on which those tools are provided by the relevant third-party provider.

SECTION 9 - RELATIONSHIP WITH SHOPIFY
Uni-Nature is powered by Shopify, which enables us to provide the Services to you. However, sales and purchases made through our Store are made directly between you and Uni-Nature. Shopify is our ecommerce platform provider and is not the seller of Uni-Nature products.

To the fullest extent permitted by applicable law, Shopify and its affiliates are not responsible for Uni-Nature's products, fulfilment, customer service, product claims or obligations arising from purchases made directly from Uni-Nature. Nothing in this section excludes any right or liability that cannot lawfully be excluded.

SECTION 10 - PRIVACY POLICY
Personal information collected through the Services is handled in accordance with our Privacy Policy and applicable Malaysian personal data protection laws. Certain personal information may also be processed by Shopify in accordance with Shopify's Privacy Policy, which can be viewed here.

Because the Services are hosted by Shopify, Shopify collects and processes certain personal information relating to your access to and use of the Services in order to provide and improve its platform services. Information submitted through the Services may be transmitted to Shopify and other service providers, including providers located outside Malaysia, where necessary to operate the Services. Where an error affects an order that has already been submitted, we will deal with the affected order reasonably and in accordance with applicable Malaysian law, including any applicable consumer rights.

You may access and use the Services for lawful purposes only. You may not access or use the Services, directly or indirectly: (a) for any unlawful, fraudulent or malicious purpose; (b) to violate any applicable law or regulation; (c) to infringe our intellectual property rights or the intellectual property rights of others; (d) to harass, abuse, threaten, defame, intimidate or unlawfully harm any person; (e) to transmit false or materially misleading information; (f) to upload, download, transmit or use material that does not comply with these Terms; (g) to transmit unsolicited advertising, spam, chain letters or similar solicitations; (h) to impersonate or attempt to impersonate another person or entity; or (i) to engage in conduct that unlawfully restricts or inhibits another person's use of the Services or that may reasonably harm Uni-Nature, Shopify or users of the Services.

In addition, you agree not to: (a) upload or transmit viruses or other malicious code; (b) reproduce, duplicate, copy, extract, sell, resell or commercially exploit any portion of the Services except as permitted by us; (c) unlawfully collect or track personal information belonging to others; (d) spam, phish, pharm or pretext the Services; (e) use robots, spiders, scraping or data-extraction tools, automated systems, AI tools or other methods to access the Services in a manner that violates these Terms or circumvents technical restrictions; or (f) interfere with, bypass or circumvent security, authorisation or access-control measures used in connection with the Services. We reserve the right to suspend, restrict or terminate access where we reasonably determine that these Terms have been violated.

The following sections will continue to apply where relevant after termination: Intellectual Property, Feedback, Termination, Disclaimer of Warranties, Limitation of Liability, Indemnification, Severability, Waiver; Entire Agreement, Assignment, Governing Law, Privacy Policy, and any other provisions that by their nature should survive termination.

Information presented through the Services is provided for general information purposes. While we take reasonable steps to keep information accurate and current, we do not guarantee that every item of general website content will at all times be complete, error-free or suitable for every particular purpose.

NOTHING IN THESE TERMS EXCLUDES, RESTRICTS OR MODIFIES ANY GUARANTEE, CONDITION, WARRANTY, RIGHT OR REMEDY THAT YOU ARE ENTITLED TO UNDER APPLICABLE MALAYSIAN LAW AND THAT CANNOT LAWFULLY BE EXCLUDED, INCLUDING APPLICABLE RIGHTS UNDER THE CONSUMER PROTECTION ACT 1999.

SECTION 17 - LIMITATION OF LIABILITY
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, UNI-NATURE AND ITS PARTNERS, DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, AGENTS, CONTRACTORS, SERVICE PROVIDERS AND LICENSORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY OR CONSEQUENTIAL LOSS THAT WAS NOT REASONABLY FORESEEABLE AND THAT ARISES FROM YOUR USE OF THE SERVICES.

THIS LIMITATION DOES NOT APPLY TO LIABILITY THAT CANNOT LAWFULLY BE EXCLUDED OR LIMITED. NOTHING IN THESE TERMS IS INTENDED TO EXCLUDE OR RESTRICT LIABILITY FOR FRAUD, FRAUDULENT MISREPRESENTATION, OR ANY STATUTORY CONSUMER RIGHT OR REMEDY THAT CANNOT BE EXCLUDED UNDER MALAYSIAN LAW.

Where applicable law permits liability to be limited but not excluded, our liability will be limited only to the extent permitted by that law.

SECTION 18 - INDEMNIFICATION
To the extent permitted by applicable law, you agree to indemnify and hold harmless Uni-Nature and our affiliates, officers, directors, employees, agents, contractors, licensors and service providers from reasonable losses, liabilities or third-party claims arising directly from your unlawful use of the Services, your material breach of these Terms, or your infringement of another person's legal rights.

We will notify you of any material indemnifiable claim where reasonably practicable. Nothing in this section requires you to indemnify us for losses caused by our own negligence, unlawful conduct or breach of obligations that cannot lawfully be excluded.

SECTION 19 - SEVERABILITY
If any provision of these Terms of Service is determined to be unlawful, void or unenforceable, that provision will be enforced to the fullest extent permitted by applicable law and, to the extent necessary, the unenforceable portion will be severed. Such determination will not affect the validity or enforceability of the remaining provisions.

SECTION 20 - WAIVER; ENTIRE AGREEMENT
Our failure to exercise or enforce any right or provision of these Terms of Service will not constitute a waiver of that right or provision.

These Terms of Service and any policies or operating rules posted by us on this site in relation to the Services constitute the agreement between you and us regarding your use of the Services, subject to any rights and obligations imposed by applicable law.

Nothing in these Terms is intended to prevent a court, tribunal or other competent authority from interpreting these Terms in accordance with applicable Malaysian law.

SECTION 21 - ASSIGNMENT
You may not transfer or assign your material rights or obligations under these Terms without our prior written consent where such consent is reasonably required. We may transfer or assign our rights and obligations in connection with a sale, restructuring, transfer of business or similar legitimate business transaction, subject to applicable law and without reducing any non-excludable rights you may have.

SECTION 22 - GOVERNING LAW
These Terms of Service and any separate agreements whereby we provide Services to you are governed by and construed in accordance with the laws of Malaysia.

Subject to any statutory rights available to you, including any right to bring an eligible consumer claim before the Tribunal for Consumer Claims Malaysia, disputes that cannot be resolved directly between you and Uni-Nature will be subject to the jurisdiction of the courts of Malaysia. Nothing in this section limits any legal right or remedy that cannot lawfully be restricted.

The headings used in this agreement are included for convenience only and will not limit or otherwise affect these Terms.
